Title:  Director of Legal Services
Reports to:  Chief Financial Officer/Chief Operating Officer

 

Job Summary

The primary role of the Director of Legal Services is to provide legal advice, counsel, and services to support client, vendor, and strategic relationships.  This includes drafting and negotiating Professional Services Agreements, Master Services Agreements, License Agreements, Vendor Agreements, NDA’s and other corporate governance-type work. 

 

Essential Job Requirements

  • Carry out all aspects of contract management including advising internal clients on contract interpretation, risk assessment, dispute resolution, and other legal matters.
  • Assist with the development of streamlined, organized and efficient policies and procedures for contracts, including establishing playbooks, and standard template language to be used in contracts and ensure Legal receives fully executed agreements for its files.
  • Maintain trademark and copyright docket and ensure the protection of Intellectual Property with Cease & Desist Letters and other infringement matters as needed.
  • Conduct legal, regulatory, and factual research.
  • Perform other duties and assist with projects as assigned.

Job Requirements

Minimum Qualifications

  • Requires Juris Doctorate Degree plus a minimum of 5 years corporate contracting experience with an emphasis on drafting, reviewing, negotiating and finalizing agreements.
  • Proven success partnering with operational business units (including Sales and Operations) with an understanding of how to support the achievement of business objectives while considering the regulatory landscape.
  • The successful candidate will have proven leadership skills and ability as a decision-maker, proven advocacy skills, be a self-starter and be able to work independently, with a commitment to excellence and quality.
  • High level of proficiency in Microsoft Office applications, including Outlook, Word, and Excel with the ability to use these applications to adopt technologies related to matters and contract management.
  • Outstanding interpersonal skills (both verbal and written) including the ability to build/maintain trust and confidence with personnel at many different levels of the company.
  • Ability to research, analyze, problem-solve and project manage.
  • Ability to work independently with minimal supervision, while acting with an appropriate sense of urgency in a fast-paced environment.
  • Must be detail-oriented, analytical, highly organized, use sound judgment and excellent attention to details.
  • Ability to think creatively, devise solutions to challenging problems and effectively drive legal and business issues to closure.

  • Prolonged sitting/work at a computer/PC
  • Moderate stress
  • Extensive work days/weeks periodically (i.e., quarterly)
